1998, a Vice President in the High Yield Department of Bear, Stearns &
Co. Inc., where he was the head trade claims and trade receivables
trader. Mr. Brecker joined Bear, Stearns in 1996. Prior to
joining Bear, Stearns, Mr. Brecker was the head trade claims trader at
Credit Research & Trading, which he joined in 1995. From 1991 to
1994, Mr. Brecker was an associate in the bankruptcy department of Pryor
Cashman and, from 1988 to 1991, an associate in the bankruptcy
department of Angel & Frankel. Mr. Brecker earned a J.D. from St.
John's University School of Law in 1988 and a B.A. in Political Science
from American University in 1985.

Mr. Jelisavcic was, until November 1998, a Vice President in the High
Yield Department of Bear, Stearns & Co. Inc., where he was responsible
for trading distressed bank loans and private notes as well as the
identification and analysis of investment opportunities in distressed
securities. Mr. Jelisavcic joined Bear, Stearns in 1993. In
1991, Mr. Jelisavcic worked as a law clerk for the U.S. Securities and
Exchange Commission in Los Angeles. From 1987 to 1990, Mr.
Jelisavcic worked in the Tax Department of Deloitte & Touche. Mr.
Jelisavcic is a C.P.A. and the author of articles on trading claims and
creditors? rights published in the Journal of Corporation Law. Mr.
Jelisavcic earned a J.D. (cum laude) from the University of Iowa College
of Law in 1993 and a B.S. in Accounting from New York University in

Weissman,

November 1998, an Associate Director in the High Yield Department of
Bear, Stearns & Co. Inc., where he was responsible for structuring,
negotiating and documenting all private secondary market securities
transactions including loan and private note assignments and
participations, total return swaps, cash and derivative trade claim and
trade receivable transactions. Mr. Weissman?s work also involved
the identification of potential transactions and the analysis of related
financial and credit documentation. Mr. Weissman joined Bear,
Stearns in 1994. Prior to joining Bear, Stearns, Mr. Weissman was
an associate in the business reorganization department of Weil, Gotshal
& Manges from 1991 to 1994. Mr. Weissman earned a J.D. from Boston
University School of Law in 1991 and a B.B.A. in Finance (cum laude)
from Bernard M. Baruch College, City University of New York, in 1988.
